Terms of Service

Effective October 26, 2026. Operated by Lobo Blanco Holdings LLC.

The service

Naboux, operated by Lobo Blanco Holdings LLC, is a network where neighboring brick-and-mortar stores refer customers to one another. These terms cover the website, your merchant account, the partnerships you make, the codes those partnerships issue, and the settlement records that follow.

A wholesale partnership has two sides. One business adds a neighbor's perk for its own customers, and the other honors that perk at the register for the agreed amount. A bounty is a referral fee: the business that proposes it pays when a referred guest buys. The partnership records who pays and who is paid. To make one, you open an account.

Accounts

An account starts with a business profile: the legal or trade name, category, owner names, email, phone, and at least one store address. You sign in with an email and password, or with Google, Microsoft, or Facebook. Creating the account is how you accept these terms and the Privacy Policy. You are responsible for the people who use the account and for keeping that sign-in private.

Partnerships

From the account, you can propose a partnership. The proposal stays open until the other business accepts it, and only that business can accept, reject, or counter. Pausing and resuming take both businesses. Either business can end an active or paused partnership. Ending it stops new redemptions, while amounts already recorded for the month remain on the overview through the end of that month.

The settlement amount, the monthly redemption cap, and which side pays are the terms the two businesses save on the partnership, and those saved terms are the agreement for each sale. You are responsible for the offer you publish and for honoring a perk you agreed to fulfill. A sale under that agreement becomes a redemption when Square shows the partnership's code.

Redemptions

Square is the point of sale. Connecting it lets Naboux read the locations, payments, and orders needed to match a code. A completed sale counts when the payment note, the payment reference, or the order carries the partnership's Naboux code, and only that sale is credited to a partner.

The wholesale code on the dashboard can be used again for as long as the partnership is active. A code sent to one customer, and a bounty code tied to one sale, can be used once. A paused or ended partnership rejects the code. Each accepted redemption is an amount the paying business owes, and that amount waits for the monthly settlement.

Money

There is no monthly subscription. The amount owed on a redemption is the settlement rate on that partnership. When a partnership includes a platform fee, that fee is part of the terms the businesses saved. Bounty and wholesale clearing use the settlement rate they set. Stripe Connect then collects from the paying business and pays the receiving business, and the ledger rows stay unsettled until that monthly batch.

A business that will be paid connects a Stripe account. Card numbers stay with Stripe. The ledger of redemptions is append-only, so a recorded redemption remains on the record.

Payment processing services for merchants on Naboux are provided by Stripe and are subject to the Stripe Connected Account Agreement. By operating a receiving or paying account on Naboux, you agree to be bound by Stripe's terms.

If a paying business's connected account fails to clear an owed settlement balance (due to insufficient funds or payout failure), Naboux reserves the right to pause active partnerships, retry processing, or offset pending payout balances until the ledger is fully settled.

Pilot letter of intent

You can sign a letter of intent before you open an account. The letter records a non-binding wish to join a 30-day launch trial. An account, a partnership, and any payment obligation begin when you complete software onboarding. The letter says the same thing on its face.

Acceptable use

Whether you join by letter or by account, you use Naboux for your own sales and your own codes. A sale should be stated as it happened, a single-use code should be used once, and a point of sale should be one you control. Customers receive a code when your business gave it to them, and your directory listing describes the business that owns the account.

Square, Stripe, the sign-in provider, and the email sender each apply their own terms alongside these. Naboux is available when those services are. A sandbox or test connection is separate from a live customer payment.

Disclaimer and liability

Naboux is the software as it operates today. Lobo Blanco Holdings LLC does not guarantee a number of customers, a redemption rate, or uninterrupted access to Square or Stripe. To the extent the law allows, liability for the service is limited to the settlement fees Naboux retained on your partnerships in the three months before the claim.

Because the offers, the products, and the point-of-sale connection are yours, you agree to defend, indemnify, and hold harmless Lobo Blanco Holdings LLC from any third-party claims, damages, losses, or legal fees arising from your merchant offers, fulfillment disputes, products sold, or unauthorized access to your point-of-sale account.

Changes and contact

We will provide notice of material changes by email or dashboard prompt at least 14 days before updated terms take effect. These terms are governed by the laws of the State of Ohio, without regard to conflict of law principles.

Questions go to the email on your merchant account. If you have only signed the pilot letter, use the email on that letter.
